Huhtamäki Shareholders' Nomination Board Proposes Board Composition for 2026 AGM

Huhtamäki Oyj’s Shareholders’ Nomination Board submits proposals to the 2026 Annual General Meeting (AGM), scheduled for Wednesday, April 29, 2026. These proposals will appear in the AGM notice published later.​

The Board proposes nine members for the Board of Directors. Current members Ms. Mercedes Alonso, Mr. Robert K. Beckler, Ms. Essimari Kairisto, Ms. Anja Korhonen, Mr. Johann Christoph Michalski, Ms. Kerttu Tuomas, and Mr. Pekka Vauramo would be re-elected. New members Mr. Suryakant Pandey and Ms. Johanna Söderström would join for a term ending at the next AGM's close. Mr. Pekka Vauramo would serve as Chair, and Ms. Kerttu Tuomas as Vice-Chair.​

Mr. Doug Baillie and Ms. Pauline Lindwall, current Board members, will not stand for re-election. The proposal assumes shareholder approval of the slate as a whole. Biographical details of candidates appear on www.huhtamaki.com. All candidates consent to election.​

Mr. Suryakant Pandey (born 1969), Managing Director for Middle East, North Africa, and India at pladis Foods Limited, previously held roles at Kimberly-Clark (2015–2021), Mondelez (2012–2015), Kraft Foods (2006–2012), and Procter & Gamble (1996–2005). He holds a B. Sc. Tech. (Hons) and MBA, independent of the company and major shareholders.​

Ms. Johanna Söderström (born 1971), Founder of Taika Talent Group LLC, served as EVP Chief People Officer at Tyson Foods (2020–2024), with prior HR roles at Dow Chemical (1999–2006, 2007–2019), Huhtamäki (2006–2007), and Ericsson (1989–1999). She sits on Fortrex, Inc. Ltd.'s Board and holds an M. Sc. (Econ.), independent of the company and major shareholders.​

Remuneration remains unchanged: Chair receives EUR 180,000 annually; Vice-Chair EUR 84,000; other members EUR 69,000. Committee chairs earn additional: Audit EUR 17,500, Human Resources and Investment EUR 10,500 each. Other members: Audit EUR 7,000, others EUR 4,200. Meeting attendance pays EUR 1,500 per session. Travel expenses follow company policy. Board members expected to hold company shares.
