International Paper is evaluating unsolicited approaches from potential buyers for its EMEA Packaging Business while continuing to advance plans to separate the business through a spin-off, the company said on October 15.
The company confirmed it is in discussions with potential bidders but cautioned that the process remains at an early stage. There is no certainty that a sale will be agreed or completed.
International Paper announced on January 29, 2026, that its EMEA Packaging Business was expected to be separated through a spin-off. On October 14, the company confirmed that the planned separation was expected to involve a listing on the London Stock Exchange, alongside a Level II American Depositary Receipt (ADR) program on the New York Stock Exchange.
The company said it is progressing the planned spin-off and evaluating a potential sale in parallel. It added that there is no assurance at this stage regarding the ultimate timing or structure of the separation from International Paper.
The statement follows recent movements in International Paper's share price and press speculation about a possible sale of the EMEA Packaging Business.
As previously announced on October 14, International Paper will host a “DS Smith – Capital Markets Day” on November 3, 2026, in connection with the planned spin-off.
International Paper, listed on the New York Stock Exchange under the ticker IP and on the London Stock Exchange as IPC, operates in corrugated packaging and supplies packaging solutions to customers across multiple industries.
