ITC Completes Acquisition of Century Pulp and Paper from Aditya Birla Real Estate

ITC Limited has completed the acquisition of the pulp and paper business of Aditya Birla Real Estate Limited, operated under the name Century Pulp and Paper. The transaction was finalized on August 1, 2026, marking the completion of ITC's expansion into the pulp and paper sector through the integration of the established business.

The acquisition was executed as a slump sale on a going concern basis under the Business Transfer Agreement dated March 31, 2025. Under this structure, ITC acquired the entire business undertaking, including its assets, liabilities, existing contracts, and employees, as a single operational entity.

The completion follows ITC's earlier disclosures to the stock exchanges regarding the proposed transaction. The company had previously informed the markets through filings dated March 31, 2025, and December 17, 2025. The latest filing confirms that all required steps for the transfer of the business have been completed.

ITC notified the National Stock Exchange of India Ltd and BSE Ltd of the transaction's completion on August 1, 2026. The regulatory communication was signed by R. K. Singhi, Executive Vice President & Company Secretary of ITC Limited. Copies of the filing were also submitted to the Securities Exchange Commission in Washington, D.C., and the Société de la Bourse de Luxembourg as part of the company's disclosure requirements.

The acquisition gives ITC ownership of Century Pulp and Paper as an operational business, including its existing infrastructure, contractual relationships, and workforce, enabling continuity of operations following the transfer.
