ProAmpac Holdings Inc.’s Acquisition of the Packaging Business of TC Transcontinental Update

MONTRÉAL, Feb. 25, 2026 -- Transcontinental Inc. (“TC Transcontinental”) (TSX: TCL.A, TCL.B) announces that, in connection with the proposed acquisition by ProAmpac Holdings Inc. of all of the issued and outstanding shares of the share capital of the entities which carry on the business of TC Transcontinental’s Packaging Sector (the “Transaction”), the waiting periods under the Competition Act (Canada) and the Hart-Scott Rodino Antitrust Improvements Act of 1976 (U.S.A.), as amended, have either expired or been terminated.

The Corporation expects that, subject to the satisfaction of customary conditions, the Transaction will close on March 6, 2026.
