Sonoco Products Company (NYSE: SON), the global packaging manufacturer, reported a sharp reversal in third-quarter earnings, posting a substantial GAAP net loss after recognizing $829 million in non-cash goodwill impairment charges. The company also reported lower adjusted earnings, pressure on operating margins and a revised full-year 2026 financial outlook as inflation, weaker product volumes and adverse weather conditions weighed on performance.
For the quarter ended September 27, 2026, Sonoco generated net sales of approximately $2.04 billion, compared with $2.13 billion in the corresponding period last year. Adjusted diluted earnings per share declined to $1.67 from $1.92, while operating cash flow reached $285 million during the quarter.
The results highlight the competing forces shaping Sonoco's performance: productivity improvements, industrial packaging demand and pricing actions on one side, and inflationary costs, softer consumer packaging volumes and significant goodwill impairment on the other.
Key Financial Highlights
Quarterly revenue: $2.04 billion, down 4.2% year over year.
GAAP net loss attributable to Sonoco: $732.1 million, compared with net income of $122.9 million a year earlier.
GAAP diluted earnings per share: A loss of $7.36, versus earnings of $1.23.
Adjusted net income: $167.2 million, compared with $191.2 million.
Adjusted diluted EPS: $1.67, down from $1.92.
Adjusted operating profit: $268 million, compared with $308 million.
Adjusted EBITDA: $352 million, compared with $386 million.
Quarterly operating cash flow: $285 million.
Revised 2026 adjusted EPS target: $5.30–$5.50 per diluted share.
The company said quarterly sales declined primarily because of the November 2025 divestiture of its ThermoSafe business. Excluding divestitures, net sales were essentially flat. Higher selling prices intended to offset inflation and tariff-related costs provided support, although lower volume and product mix partially offset those benefits.
Goodwill Impairment Drives Reported Loss
Sonoco's third-quarter GAAP operating loss reached $638 million, compared with operating profit of approximately $195 million in the prior-year quarter.
The principal factor was a non-cash goodwill impairment charge totaling approximately $829 million. The charge comprised $802 million associated with Consumer Packaging operations in Europe, the Middle East and Africa and Asia-Pacific, and approximately $27 million associated with the Industrial Paper Packaging segment's Asia-Pacific business.
Goodwill impairment reduces the carrying value of acquired businesses when their estimated value no longer supports the amount recorded on the balance sheet. The charge is non-cash, but it materially affects reported earnings and reflects revised valuations of the affected businesses.
Beyond the impairment, Sonoco said productivity savings from fixed-cost reduction and procurement initiatives were more than offset by price-cost pressures and weaker volume and product mix.
Adjusted results, which exclude specified items under the company's non-GAAP methodology, provide a different view of the quarter's underlying performance. Adjusted net income was approximately $167 million, or $1.67 per diluted share, but both measures declined year over year.
The company's effective tax rate on GAAP continuing-operations pretax results was negative 6.4% for the quarter, compared with 6.0% a year earlier. The effective tax rate on adjusted continuing-operations pretax income was 24.6%, compared with 22.9% in the prior-year quarter.
Nine-Month Performance Shows Continued Earnings Pressure
For the first nine months of 2026, Sonoco reported net sales of $5.60 billion, down 2.6% from $5.75 billion in the corresponding 2025 period.
The company recorded a GAAP net loss attributable to Sonoco of approximately $559.6 million, compared with net income of $670.8 million in the first nine months of 2025. The prior-year figure included income from discontinued operations, including a substantial gain associated with divestitures, making the year-over-year comparison materially affected by portfolio changes.
Nine-month adjusted diluted EPS declined to $4.38 from $4.66. Adjusted net income fell to approximately $437 million from $464 million, while adjusted operating profit declined to $711 million from $768 million.
Adjusted EBITDA for the nine-month period was approximately $952 million, compared with $1.05 billion a year earlier.
Figures are rounded. Adjusted measures are non-GAAP financial measures as defined by Sonoco. Prior-year adjusted EBITDA comparisons include discontinued operations as specified in the company's reconciliation disclosures.
Consumer Packaging Faces Weather and Cost Headwinds
Sonoco's Consumer Packaging segment reported third-quarter net sales of approximately $1.40 billion, down 2.9% from $1.44 billion a year earlier.
Segment operating profit declined 14.6% to approximately $179 million from $209 million. Adjusted EBITDA decreased 8.8% to approximately $237 million from $260 million.
The segment's operating profit margin narrowed to 12.8%, compared with 14.5% in the prior-year quarter. Its adjusted EBITDA margin fell to 17.0% from 18.0%.
Adverse weather conditions affected seasonal vegetable harvests across Europe and the Americas, reducing metal can volumes. The resulting volume pressure outweighed the benefits of pricing actions designed to recover inflationary and tariff-related costs, as well as the effects of foreign exchange.
Sonoco said productivity improvements and cost-containment measures continued, but they were insufficient to offset higher costs and unfavorable volume and mix.
International paper can operations provided a more encouraging development, delivering double-digit year-over-year volume growth supported by sustained demand for snack products in emerging markets.
For the first nine months of 2026, Consumer Packaging generated approximately $3.73 billion in net sales, essentially unchanged from the prior-year period. Segment operating profit fell 10.6% to $456 million, while adjusted EBITDA declined 6.4% to $620 million.
Industrial Paper Packaging Benefits From Pricing and Demand
Industrial Paper Packaging delivered stronger revenue growth, although profitability remained under pressure from rising input costs.
Third-quarter segment net sales increased 5.2% to approximately $646 million from $614 million. Segment operating profit declined 6.2% to approximately $88 million, while adjusted EBITDA decreased 4.6% to approximately $122 million.
The segment's operating profit margin was 13.6%, compared with 15.3% in the prior-year quarter. Its adjusted EBITDA margin was 18.8%, compared with 20.8%.
Sonoco attributed the revenue improvement primarily to pricing actions intended to offset higher operating costs. However, increases in raw material, freight and energy expenses outweighed the contribution from pricing and productivity initiatives.
North American uncoated recycled board (URB) trade ton sales increased 10% year over year, while mill utilization remained strong at 94%. Segment volume and mix were modestly positive, and additional URB pricing realized in September was expected to help address ongoing inflationary pressure.
For the first nine months of 2026, Industrial Paper Packaging reported net sales of approximately $1.87 billion, up 2.7%. Operating profit declined 3.7% to $247 million, while adjusted EBITDA decreased 2.9% to $344 million.
Management Points to Inflation, Weather and Cost Control
Sonoco President and Chief Executive Officer Howard Coker said the company faced a combination of external challenges during the quarter.
He identified drought conditions across parts of Europe and the United States as factors affecting crop yields and food-can demand. Inflation in raw materials, freight, energy and other operating expenses also exceeded the company's expectations.
Management said productivity initiatives and rigorous cost control helped mitigate a significant portion of these pressures.
Coker characterized Industrial Paper Packaging as a comparatively resilient performer, citing productivity improvements, North American recycled-board demand and strong mill utilization. He also acknowledged that Consumer Packaging results fell short of expectations, with lower volume and unfavorable price-cost dynamics affecting performance.
Looking ahead, Coker said Sonoco was implementing targeted measures through its Profitability Performance Plan to reduce costs, improve productivity and address inflationary pressure. The company expects these measures to strengthen its position when market conditions improve.
Chief Financial Officer Paul Joachimczyk emphasized the company's cash generation and debt-management efforts. He said Sonoco continued to strengthen its balance sheet during the quarter, reducing total debt by $162 million and net debt by $176 million, while completing a refinancing intended to extend its debt maturity profile and improve financial flexibility.
Cash Flow and Balance Sheet: Liquidity Remains a Focus
Sonoco generated $285 million in operating cash flow during the third quarter. For the first nine months of 2026, operating cash flow totaled approximately $218 million, compared with $277 million in the same period of 2025.
The year-to-date figure included approximately $103 million in one-time tax payments in 2026 associated with gains from the 2025 divestitures of the Thermoformed and Flexibles Packaging (TFP) and ThermoSafe businesses. Seasonal working-capital requirements in the metal packaging business also affected cash flow.
Free cash flow for the first nine months increased to approximately $43 million from $29 million a year earlier. Net capital expenditures were approximately $175 million, down from $248 million in the prior-year period.
At September 27, 2026, Sonoco reported:
Cash and cash equivalents of approximately $183 million, compared with $378 million at December 31, 2025.
Total debt of approximately $4.29 billion.
Net debt of approximately $4.11 billion.
Total liquidity of approximately $1.3 billion, including $1.1 billion of available borrowing capacity under its revolving credit facility and cash on hand.
The company returned approximately $159 million to shareholders through dividends during the first nine months of 2026, compared with $156 million in the prior-year period. Dividends were $0.54 per common share in the third quarter, compared with $0.53 a year earlier.
These figures point to the importance of working-capital management, capital expenditure discipline and sustained cash generation as Sonoco works to offset cost pressures and maintain financial flexibility.
$800 Million Term Loan Facilities Added Through Refinancing
On September 25, 2026, Sonoco amended a credit agreement to add $800 million in new term loan facilities.
The company drew $500 million from the new facilities to refinance an existing $500 million term loan that had been scheduled to mature in 2028. The remaining $300 million was retained as delayed-draw term loan capacity, available for use within 12 months.
Management said the refinancing extends the company's maturity profile and enhances financial flexibility, supporting its capital allocation priorities while it seeks to maintain investment-grade credit ratings.
The company also reported total assets of approximately $10.13 billion at September 27, 2026, compared with $11.16 billion at December 31, 2025. Goodwill declined to approximately $1.65 billion from $2.51 billion, reflecting the impact of impairment charges among other balance-sheet movements.
Sonoco Revises Full-Year 2026 Financial Outlook
Sonoco revised its full-year 2026 guidance following third-quarter results that fell short of management's expectations.
The revised operating cash flow outlook incorporates payments of prior-year taxes on divestiture gains and restructuring costs.
For the fourth quarter, management expects Industrial Paper Packaging to continue performing strongly, supported by robust North American URB demand. Consumer Packaging is expected to deliver more stable results, supported by continued international paper can growth and a more balanced performance in aerosol and food can volumes.
Recovering raw material, freight, energy and other operating costs remains a key priority as the company closes 2026 and enters 2027.
Sonoco cautioned that actual results may differ materially from guidance because of uncertainties involving the economy, tariffs, trade policy, inflation, supply chains, raw material prices, taxes and the integration of Eviosys, among other risks.
The company did not provide full-year GAAP earnings guidance in this release because certain future adjustments—including restructuring charges, acquisition and divestiture-related items and tax-related events—could not be reliably forecast without unreasonable effort.
Strategic Context: Portfolio Integration and Operating Execution
Sonoco reports its results through two principal segments: Consumer Packaging and Industrial Paper Packaging.
Effective January 1, 2026, its industrial and specialty plastics business, previously included in the All Other category, was incorporated into the Industrial segment. Following the November 2025 ThermoSafe divestiture, the company no longer reports an All Other segment.
The company also continues to manage the integration of Eviosys, which it acquired in December 2024. Acquisition integration, restructuring, productivity improvements and the ability to recover higher input costs through pricing remain important factors in its operating outlook.
Sonoco's latest results demonstrate the distinction between reported earnings and adjusted operating performance. The goodwill impairment accounted for a substantial portion of the GAAP loss, but the decline in adjusted earnings also indicates that inflationary costs and weaker volume and mix remain meaningful challenges.
Industrial Paper Packaging offers a source of relative stability through recycled-board demand and pricing actions, while Consumer Packaging faces the more immediate task of recovering volumes and improving profitability.
Execution against the revised guidance will depend on cost recovery, pricing realization, demand conditions, working-capital discipline and the effectiveness of the company's profitability initiatives.

Editorial Takeaway
Sonoco's third-quarter results reflect a difficult operating environment in which a major non-cash impairment charge overshadowed otherwise profitable adjusted operations. However, lower adjusted earnings, pressure on segment margins and reduced year-to-date operating cash flow demonstrate that the challenges extend beyond accounting adjustments.
The company's revised 2026 targets, refinancing actions and productivity program establish the immediate benchmarks for assessing its progress. Investors and industry observers will be watching whether industrial packaging demand remains resilient, consumer packaging volumes stabilize and pricing gains increasingly offset inflationary costs.
