TC Transcontinental Shareholders Approve Packaging Business Sale to ProAmpac

Transcontinental Inc. announced that its shareholders approved the sale of the TC Transcontinental Packaging business to ProAmpac Holdings Inc. at a Special Meeting held on February 2, 2026.​

The transaction received 99.98% approval of votes cast, surpassing the required 66 2/3% threshold for both Class A Subordinate Voting Shares and Class B Shares voting together.​

This follows the stock purchase agreement signed on December 7, 2025, and announced December 8, 2025, under which ProAmpac will acquire all issued shares of entities operating TC Transcontinental's Packaging Sector.​

Closing remains subject to regulatory approvals and customary conditions, expected in Q1 2026.​
