UPM Receives Approval for Supplement to WISA Demerger and Listing Prospectus

The Finnish Financial Supervisory Authority has approved a supplement to the Finnish-language demerger and listing prospectus concerning UPM-Kymmene Corporation's planned partial demerger and the proposed admission of WISA Group Plc shares to trading on the regulated market of Nasdaq Helsinki.

The supplement, approved on August 17, relates to WISA's unaudited carve-out financial information and unaudited pro forma financial information for the six months ended June 30, 2026, as well as WISA's guidance and certain technical amendments.

UPM will publish the supplement on behalf of WISA. The Finnish-language version and an unofficial English translation will be available from August 17, together with the previously published demerger and listing prospectus and its unofficial English translation.

UPM's Board of Directors has proposed that an Extraordinary General Meeting scheduled for August 31, 2026, approve the demerger plan and resolve on the partial demerger.

Under the plan, all assets and liabilities of UPM related to, or mainly serving, the UPM Plywood business area would be transferred to WISA, a company to be established through the partial demerger.

The planned completion date for the demerger is October 31, 2026, subject, among other conditions, to approval by the Extraordinary General Meeting. Trading in WISA shares on the regulated market of Nasdaq Helsinki is expected to begin on November 2, 2026, or as soon as reasonably possible thereafter.
