UPM-Kymmene Corporation has decided to notify the Finnish Trade Register of the completion of its partial demerger, transferring its UPM Plywood business to newly established WISA Group Plc, with registration scheduled for October 31, 2026. The Finnish Financial Supervisory Authority has also approved a supplement to WISA Group’s demerger and listing prospectus.
Under the demerger plan, approved by UPM’s extraordinary general meeting on August 31, 2026, all assets and liabilities relating to, or primarily serving, the UPM Plywood business area will be transferred to WISA Group.
UPM filed a listing application with Nasdaq Helsinki on October 22, seeking admission of WISA Group shares to the exchange’s regulated market. Trading is expected to begin on or about November 2, 2026, under the ticker symbol WISA. The shares will carry ISIN code FI4000603345. Following completion of the demerger, UPM shares will have the new ISIN code FI4000603337, while retaining the UPM trading symbol.
The prospectus supplement, approved on October 28, covers WISA Group’s unaudited carve-out financial information for the nine months ended September 30, 2026, its guidance and outlook, and certain technical amendments. The Finnish-language supplement and an unofficial English translation will be available alongside the previously published prospectus on UPM’s demerger websites.
UPM shareholders to receive WISA Group shares
As demerger consideration, UPM shareholders will receive one WISA Group share for each UPM share they hold. Treasury shares held by UPM are excluded from the distribution. The total number of WISA Group shares to be issued is expected to be 527,324,046.
The new shares are expected to be credited to shareholders’ book-entry accounts on or about November 2, 2026. The demerger will not change the number of UPM shares outstanding.
Provided the demerger is registered on October 31, trades in UPM shares executed on or before October 30 will qualify for the distribution. Trades executed by that date but not yet settled will be settled so that investors receive shares in both companies.
Following completion, UPM and WISA Group will operate as separate, independent companies in accordance with their respective strategic objectives.
